Billing, renewal and cancellation

The free months, the price bands, invoices, renewals, and leaving.

This document forms part of the Terms of Service between Web and Cloud Innovation Ltd and the Customer.

1The Fee

The subscription fee, the billing period and the currency are those quoted to you and accepted when you subscribed, or as changed in accordance with this document.

Fees are exclusive of value added tax and of any other tax, duty or bank charge. Where value added tax applies, it is added at the rate in force. Where the place-of-supply rules mean that tax is accounted for by you rather than by us, the invoice says so.

2When It Is Invoiced And When It Is Due

The subscription is invoiced in advance of each billing period.

Invoices are due fourteen (14) days from the date of issue unless the invoice states otherwise.

Anything metered — additional storage, additional workspaces, work agreed separately — is invoiced in arrears for the period in which it was used.

3Renewal

The subscription renews automatically for a further period of the same length, at the fee then in force, unless it is cancelled as clause 5 describes.

We will tell you at least thirty (30) days before a renewal that carries a price increase.

4Price Changes

We may change the fee for a future period on at least thirty (30) days' notice before the renewal it applies to. The fee for a period already paid for does not change.

5Cancelling

You may cancel at any time, with effect from the end of the period you have paid for, by telling us in writing. There is no cancellation fee and no minimum term beyond the period you have bought.

We may end the subscription as clause 12 of the Terms of Service describes.

6Refunds

Fees for a period that has begun are not refunded, except where we end the subscription for a reason that is not your breach, where we make a material change to your disadvantage and you leave before it takes effect, or where the law gives you a right to a refund.

Where a refund is due it is calculated pro rata for the unused part of the period and paid within thirty (30) days.

7Late Payment

If an invoice is overdue we will tell you. If it remains unpaid fourteen (14) days after that reminder we may suspend the Service, having first given you notice of the date.

Suspension does not delete your data. Your data stays available for export for the periods set out in clause 13 of the Terms of Service.

We may charge interest on a sum overdue at the rate set by the Late Payment in Commercial Transactions regulations in force in Malta, from the due date until payment.

8Taxes And Invoicing Details

You must give us the billing name, address and, where you have one, the tax registration number that belongs on the invoice, and tell us when they change. An invoice reissued because you gave us the wrong details is reissued once at no charge.

9Trials And Pilots

Where a trial or pilot period is agreed, it is stated in writing, it carries no fee, and either of us may end it at any time. Data put in during a trial is treated exactly as data in a paid subscription, and is exportable and deletable in the same way.
